Manager Equity Compensation works closely with partners and
business leaders to design, implement and administer all equity
compensation programs and will be responsible for managing the
day-to-day operations of these programs. The role provides guidance
and drives strategy to effectively meet organizational objectives
while ensuring internal equity, external competitiveness, and
compliance with applicable laws.Responsibilities:
- Overall ownership of all equity compensation plans including
stock options, restricted stock units and the employee stock
purchase plan.
- Supervise and coach/develop team members.
- Develop and maintain policies and procedures related to equity
compensation plans and programs, ensuring compliance with
regulatory requirements and best practices.
- Responsible for the oversight of equity transactions and the
equity administration platform including employee census data,
grants, exercises, sales, releases, terminations, etc.
- Proactively develop ongoing communications and education
programs to help employees understand the full value of the equity
compensation program.
- Serve as the primary point of contact for employees regarding
equity compensation questions.
- Assist in the design and administration of executive
compensation programs and the related proxy disclosures.
- Oversee the external equity administration provider including
executive services to ensure the Paylocity team is receiving
quality service levels.
- Coordinate with payroll/accounting for accurate tax withholding
and reporting.
- Ensure accuracy of all 10b5-1 transactions and assist
executives with plans, as needed.
- Stay current with industry best practices, trends and
regulatory changes ensuring programs are competitive, compliant and
aligned with company objectives.
- Manage non-employee director's equity compensation and Form
1099-MISC process.
- Ensure accuracy and completeness of equity compensation data
and report.Requirements:
- Bachelor's degree or higher required plus at least 5+ years'
experience in equity compensation management with a strong
understanding of equity plan design, administration and
compliance
- Broad experience with different equity forms such as RSUs,
PSUs, MSUs, stock options, and ESPP
- Deep knowledge of regulatory requirements related to equity
compensation, including tax, accounting and legal
considerations
- Proficiency with Microsoft 365 Business Suite (i.e., Visio,
Excel, Word, Outlook)Preferred Skills:
- Certified Equity Professional (CEP) designation preferred
- Experience using E*TRADE Equity Edge Online a plusSoft Skills:
- Excellent communication and interpersonal skills
- Ability to work independently and collaboratively with
cross-functional teams
- Strong project management skills, with the ability to manage
multiple projects and priorities simultaneously
- Excellent analytical and problem-solving skillsPaylocity is an
